Terms of Service
Last updated: 11 October 2026
These Terms apply from the date shown above.
1. Who We Are and Accepting These Terms
Xpact is provided by XPNNTL LTD, a private limited company registered in England and Wales under company number 17493975, with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("Xpact", "we", "us", or "our").
Email: support@xpact.app
These Terms form a contract between Xpact and the person or organisation using the service. You accept them when you start the Xpact bot in Telegram, open the Xpact mini app, sign in to the Xpact website with your Telegram account, or accept them in the Xpact dashboard after we invite you. Our Privacy Policy explains how we process personal data; reading it is not the same as consenting to optional processing.
If you use Xpact for an organisation, you confirm that you have authority to bind that organisation. "You" then includes that organisation.
2. Eligibility
You must be at least 18 years old and legally capable of entering into this contract. You may not use Xpact if applicable law prohibits you from doing so.
You need a Telegram account to use the Xpact bot and the Xpact mini app. Telegram is a separate service provided under its own terms, and your use of Telegram is governed by them. The Xpact dashboard is by invitation: we invite you with your email address.
We may refuse Telegram accounts that appear to be less than 7 days old. If we refuse yours and you think this is wrong, contact support@xpact.app.
3. What Xpact Provides
Xpact helps you find and assess lots from auctions across Europe. Listings are published by auction houses and other auction operators; we cooperate with some of them, and every listing links to its original source. Features may include:
- a feed of lots in the Xpact bot, matched to the countries, categories, and filters you choose;
- the Xpact mini app in Telegram and the Xpact dashboard on the web, with search, filters, sorting, categories, maps, and lot pages;
- estimates of what a lot may cost with the buyer's premium, fees, and VAT;
- favourites, and reminders in Telegram before a saved lot closes;
- guides about auction formats, bidding, pick-up, transport, and resale; and
- feedback and support.
Some features shown as "soon" are not yet available and may change before they are released.
Xpact does not conduct auctions, accept bids, sell auction items, collect auction payments, hold deposits, inspect items, arrange delivery, or act as an agent, broker, appraiser, or adviser. Any bid, purchase, or other transaction takes place directly between you and the relevant auction operator under that operator's rules.
4. Your Account
Your Xpact account is linked to your Telegram account or to the email address we invited you with. You are responsible for:
- keeping access to your Telegram account, your email, and your devices secure;
- keeping your password secret;
- activity performed through your account unless caused by our breach;
- telling us promptly at support@xpact.app if you suspect unauthorised access; and
- signing out of devices you do not control.
Accounts are personal to the user or organisation and may not be sold, transferred, or shared in a way that compromises security. We may apply reasonable verification and rate limits.
5. Free Service
Xpact is currently provided free of charge. There is no paid plan, trial, automatic renewal, or payment processing under these Terms.
In the Xpact bot, after the first 30 lots it shows you, you must join our Telegram channel @xpact_official and stay a member to keep using the bot. Until you join, the bot shows you only a request to join; help, the Terms, and deleting your account stay available. If you leave the channel, the bot pauses in the same way until you rejoin. The mini app and the dashboard do not require the channel.
We may introduce paid features later only under updated terms and clear pricing. We will not charge you without your express agreement to the relevant offer.
6. Permitted Use
Subject to these Terms, Xpact grants you a limited, non-exclusive, non-transferable, revocable right to use the service for lawful personal use or internal business research.
You may save lots, use ordinary search features, and share links to Xpact or to the original auction listing. This permission does not transfer ownership of Xpact software or of third-party auction content.
7. Prohibited Use
You must not:
- use Xpact unlawfully, fraudulently, or to infringe another person's rights;
- extract Xpact data systematically or by automated means, including with bots, scripts, or crawlers, without our prior written permission;
- bulk download, republish, sell, sublicense, or create a competing database from Xpact or its listing data;
- bypass access controls, rate limits, authentication, or technical safeguards;
- probe, scan, exploit, disrupt, overload, reverse engineer, or introduce malicious code into the service, except where applicable law expressly permits security research that cannot be restricted by contract;
- use another person's account or impersonate another person or organisation;
- use Xpact to send spam or abusive, deceptive, or harmful communications;
- remove ownership, attribution, or source notices; or
- suggest that Xpact endorses, guarantees, or is affiliated with an auction operator unless we have stated that relationship in writing.
Normal use of browser functions and public search-engine indexing allowed by our technical settings is not prohibited.
8. Auction Listings and Third-Party Content
Lot descriptions, photographs, trade marks, prices, dates, locations, and other listing information come from auction operators and other third parties. Rights in that material remain with their owners. Xpact displays and organises the information to help you find it, and links to the original source.
You may use third-party content only as permitted by its owner and applicable law.
If you own rights in material shown on Xpact and believe its use is incorrect or unlawful, email support@xpact.app with:
- your contact details and authority to act;
- the Xpact link and the original listing link;
- a description of the material and the right you claim; and
- the correction or removal you request.
We may investigate, correct, restrict, or remove material while a claim is reviewed.
9. Check Every Detail at the Source
Auction information can be incomplete, delayed, mistranslated, duplicated, or incorrect, and listings may change or end without notice. Before bidding, travelling, paying, or making any other decision, check all important information directly with the auction operator, including:
- the identity and authority of the seller and the auction operator;
- the item's existence, condition, authenticity, quantity, and location;
- registration, deposit, and bidding requirements and the auction format;
- the current price, currency, taxes, buyer's premium, and other fees;
- inspection, pick-up, delivery, export, and import arrangements;
- deadlines and the auction operator's binding terms; and
- legal restrictions that may apply to the item or the transaction.
Price estimates, including amounts shown "with fees and VAT", are calculated from an auction's standard terms for a private buyer. They are estimates, not quotes: your actual cost may differ, and shipping, pick-up, dismantling, and other costs may be extra.
Xpact does not provide legal, financial, tax, investment, valuation, customs, or bidding advice. Guides, estimates, comparisons, and similar information are general information, not a recommendation or a guarantee of value or profit.
10. Reminders, Telegram Messages, and Maps
Reminders before a saved lot closes are optional, and you choose when they are sent or switch them off in the bot. We do not guarantee that a reminder or other message will be delivered, be complete, or arrive before an auction ends. Do not rely on a reminder as your only way of following an auction.
Messages from the Xpact bot are delivered through Telegram, so their delivery also depends on Telegram.
Maps and location search are optional. Results are approximate and may leave out relevant lots or include lots outside the selected area. Map data is supplied by third-party providers under their own terms.
11. Feedback
If you send ideas, suggestions, or other feedback about Xpact, you grant us a worldwide, perpetual, royalty-free right to use that feedback to operate and improve the service. This does not transfer ownership of unrelated material or of personal data in a support request. Do not send confidential information unless we have agreed in writing to receive it in confidence.
12. Xpact Intellectual Property
Xpact and its licensors keep all rights in the Xpact software, design, branding, original text, guides, and service functionality. Except for the limited right of use in Section 6, these Terms grant no licence to our intellectual property.
"Xpact" and its branding may not be used to suggest sponsorship, affiliation, or endorsement without our written permission.
13. Privacy
Our Privacy Policy and Cookie Policy explain how we process personal data and use storage on your device. They are provided for your information; the Privacy Policy is not a contract and does not reduce your legal privacy rights.
14. Availability and Changes to the Service
Xpact is an early-stage service. We do not promise uninterrupted availability or a service level. Maintenance, security events, provider or Telegram outages, changes at auction sources, and technical limits may interrupt or change the service.
We may add, change, suspend, or discontinue features or sources. If a change materially reduces a feature of your account, we will give reasonable notice when practical. We will not remove or limit rights that applicable law makes mandatory.
15. Ending the Contract
You may stop using Xpact at any time. To delete your account and its data, email support@xpact.app from your account details or use an account-deletion control where one is available. Deleting the Xpact bot chat in Telegram stops its messages but does not by itself delete your account.
We may restrict or suspend access where reasonably necessary to:
- address a security threat, fraud, or unlawful activity;
- enforce these Terms;
- protect users, third parties, Xpact, or our infrastructure providers;
- comply with the law or a valid request from an authority; or
- operate or discontinue the service.
Where appropriate, we will explain the reason and give you a reasonable opportunity to put things right. We may act immediately for urgent security, legal, or abuse risks.
We may end an account for a material or repeated breach, unlawful use, or serious security abuse. If we discontinue the service for reasons unrelated to your breach, we will give reasonable notice where practical.
When the contract ends, your right to use the account ends. Sections that by their nature should continue, including those on intellectual property, third-party content, liability, and disputes, remain in effect. Personal data is handled under the Privacy Policy and applicable law.
16. Service Standards
We will provide Xpact with reasonable care and skill. Subject to that duty and to your mandatory rights, Xpact is provided on an "as available" basis.
We do not guarantee that:
- every auction or auction operator will be included;
- listing information or price estimates will be accurate, complete, current, or error-free;
- an auction, item, seller, or source is genuine, lawful, or suitable for you;
- search ordering or matching will meet your needs;
- a reminder or message will be delivered on time; or
- the service will always be available, secure, or free from defects.
Nothing in these Terms excludes a guarantee, remedy, or other right that cannot lawfully be excluded.
17. Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss caused by an auction operator, seller, external website, inaccurate source information, or your not checking important auction information at the source, except to the extent the loss was caused by our own breach and the law does not allow that responsibility to be excluded. We provide Xpact for domestic and private use, and we are not liable to consumers for loss of business, profit, or business opportunity.
If you are a business user, to the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill, or anticipated savings, arising from your use of the free service.
You remain responsible for your dealings with auction operators and sellers.
18. Your Rights as a Consumer
If you are a consumer, the law of the country where you live may give you rights that these Terms cannot take away. In the United Kingdom these include your rights under the Consumer Rights Act 2015. Those rights prevail over anything in these Terms that conflicts with them.
Because Xpact is free, you may end the contract and ask us to delete your account at any time without any charge. This is in addition to any legal right to withdraw or cancel.
19. Changes to These Terms
We may update these Terms for legal, security, operational, or service reasons. The updated Terms will show a new "last updated" date.
We will tell you about a material change at least 30 days before it takes effect when practical, for example through the Xpact bot or on the website. A change needed urgently for security or legal reasons may take effect sooner, with notice as soon as reasonably possible. Changes do not apply retroactively unless the law requires it or you expressly agree.
20. Governing Law and Disputes
These Terms are governed by the law of England and Wales.
If you are a consumer, this does not deprive you of the protection of mandatory law in the country where you live. You may bring a claim in the courts of England and Wales, or in the courts of the part of the United Kingdom or the country where you live if mandatory law allows.
If you are a business user, the courts of England and Wales have exclusive jurisdiction, unless we agree otherwise in writing.
Before bringing a claim, please contact support@xpact.app so we can try to resolve the issue informally. This does not stop either party from seeking urgent relief or using a statutory complaint or dispute process.
21. General
If a provision is found invalid or unenforceable, it will apply to the maximum extent permitted, and the remaining provisions will continue in effect.
If we do not enforce a provision immediately, we have not waived it. You may not transfer this contract without our consent. We may transfer it as part of a reorganisation, financing, merger, or sale of Xpact, provided this does not reduce your mandatory consumer or privacy rights.
These Terms, together with any terms expressly incorporated into them, are the entire agreement about the free Xpact service. No one other than you and us has any right to enforce them.
